Paid Subscription Terms
These terms govern paid subscriptions to The Trans Inclusion Toolkit. They apply in addition to our general Terms of Use and Privacy Policy.
These Subscription Terms ("Subscription Terms") are a business-to-business agreement between the subscribing organisation ("Subscriber", "you", "your organisation") and SEE Change Happen Ltd ("we", "us", "our"), a company registered in England and Wales (Company No: 13138905). They govern your organisation's purchase and use of a paid subscription to The Trans Inclusion Toolkit.
This is a B2B service. The Trans Inclusion Toolkit is designed for use by organisations — including employers, public bodies, charities, consultancies, and professional practitioners — to support their governance, policy development, and inclusion work. It is not a consumer service for personal use.
By subscribing, you confirm that you are acting in a professional or organisational capacity (not as a private consumer), that you have the authority to bind your organisation to these terms, and that you have read, understood, and agree to be bound by these Subscription Terms, our Terms of Use, and our Privacy Policy.
1. What You Are Purchasing
The Trans Inclusion Toolkit offers tiered access to research-based resources, AI-powered tools, and structured frameworks for trans and nonbinary inclusion in UK organisations. Subscriptions are purchased by organisations for use by a designated individual within that organisation. Paid subscriptions unlock additional features beyond the free tier.
Subscription tiers
We currently offer the following paid subscription tiers:
- Practitioner — access to the full document library, persona gallery, authorities, and scenarios (online), plus Quinn AI chat (full access) and limited use of Policy Roast and Response Scripts (3 per month each)
- Professional — everything in Practitioner plus full access to all AI-powered features: Scenario Stress-Test, EqIA/DPIA Wizard, Defensibility Builder, detailed diagnostic coaching, and PDF & Word export. All AI features are subject to fair usage limits (see Section 10A below)
The specific features included in each tier are described on our Pricing page. We reserve the right to add, modify, or discontinue individual features within a tier, provided that the overall value proposition of your subscription tier is maintained. We will give reasonable notice of material changes.
Tier Access — Strategic Pathway
| Feature | Free | Practitioner | Professional |
|---|---|---|---|
| Pathway Steps 1–2 | Yes | Yes | Yes |
| Standalone tools (Roast, Response, Defence, Scenarios, Quinn) | Demo | Yes (fair usage limits) | Yes |
| Guided 8-step pathway (sequential flow) | Demo | No | Yes |
| Policy Vault (persistent storage) | No | No | Yes |
| Evidence Pack (PDF/Word export) | No | No | Yes |
| Specialist tools (Complaints, Board Briefing) | No | No | Yes |
Practitioner tier provides access to individual tools as standalone modules. This is ideal for consultants and practitioners who need specific analysis capabilities without the guided pathway flow. Policy uploads in standalone mode are transient — they are processed for the current session but not stored persistently.
Professional tier provides the full guided 8-step Strategic Pathway with persistent data storage, policy vault, evidence pack compilation, and specialist tools. This is ideal for organisations conducting a comprehensive governance review.
What subscriptions are not
Your subscription provides access to self-serve educational resources and tools. It does not include:
- Legal, HR, or professional advice (see our Terms of Use, Section 8)
- Bespoke consulting, coaching, or advisory services
- A guarantee that any tool output (including AI-generated content) is accurate, complete, or suitable for your organisation's specific circumstances
- Dedicated support or guaranteed response times
- Multi-user or organisation-wide access (each subscription covers a single named user)
For bespoke consulting and advisory services, please visit our Register Interest page.
1A. Licences, Sign-In and Devices
Per-user licences
Practitioner and Professional subscriptions are licensed per user. Each licence is personal to the named user it is issued to and may not be shared with, or transferred to, anyone else.
Passwordless sign-in
There are no passwords. Each user signs in with their personal email address and a 6-digit one-time code sent to that address. You are responsible for keeping access to that email account secure and for not sharing or forwarding sign-in codes. If you believe your email account or your toolkit access has been compromised, contact us promptly so we can secure the account.
Devices
Each licence covers use on up to two devices. You can retire a registered device at any time from your account, which frees the slot for a new device. Persistent use by more than one person, or attempts to circumvent the device limit, is a breach of Acceptable Use.
2. Billing and Payment
Pricing
Current subscription prices are displayed on our Pricing page. All prices are listed exclusive of VAT. UK VAT at the prevailing rate (currently 20%) will be added at checkout where applicable.
Payment processing
Payments are processed securely by Stripe, our payment processor. When you subscribe, you are redirected to Stripe's hosted checkout page to enter your payment details. We do not see, store, or have access to your full card number or payment credentials. All payment data is handled by Stripe in accordance with PCI DSS Level 1 standards.
By subscribing, you also agree to Stripe's Terms of Service as they apply to end users.
Billing cycle
Subscriptions are available on a monthly or annual billing cycle, as selected at checkout. Your subscription will automatically renew at the end of each billing period at the then-current price, unless cancelled before the renewal date.
Price changes
We may adjust subscription prices from time to time. If we increase the price of your subscription, we will give you at least 30 days' notice before the change takes effect. The new price will apply from your next renewal date after the notice period. If you do not wish to continue at the new price, you may cancel before your next renewal.
Failed payments
If a renewal payment fails, Stripe will retry the charge according to its standard retry schedule. If payment cannot be collected after multiple attempts, your subscription may be suspended or cancelled. We will make reasonable efforts to notify you of payment failures via email.
Invoices
Stripe generates invoices for each payment. You can view and download your invoices at any time through the Stripe Customer Portal (accessible from your Dashboard).
3. Promotional Offers
Early Bird pricing
We may offer Early Bird pricing to a limited number of subscribers. Early Bird subscriptions provide the same features as the corresponding standard tier at a reduced rate. The Early Bird price is guaranteed for the duration of your continuous subscription — provided you do not cancel and re-subscribe, in which case standard pricing will apply.
Early Bird availability is limited and offered on a first-come, first-served basis. We reserve the right to cap or withdraw Early Bird pricing at any time, though existing Early Bird subscribers will not be affected.
Discount codes
We may issue discount or promotional codes from time to time. These codes are subject to any specific terms stated at the time of issue, may only be used once, and cannot be combined with other offers unless explicitly stated.
4. Cancellation
You may cancel your subscription at any time through the Stripe Customer Portal, accessible from your Dashboard via the "Manage Subscription" button.
When you cancel:
- Your subscription remains active until the end of your current billing period
- You will not be charged again after cancellation takes effect
- Your access tier will be downgraded to Registered (free) at the end of the billing period — you retain your account, login, and any saved assessments, but lose access to paid features
- You may re-subscribe at any time at the then-current price
We do not charge cancellation fees.
5. Refunds
Subscription fees are generally non-refundable. When you cancel, you retain access for the remainder of your paid period but are not entitled to a pro-rata refund for unused time.
We may, at our sole discretion, offer a refund or credit in the following circumstances:
- Service failure — if the platform is materially unavailable for an extended period (more than 72 consecutive hours) due to a fault on our side
- Billing error — if you were charged incorrectly (e.g. duplicate charge, wrong amount)
- Exceptional circumstances — we consider refund requests on a case-by-case basis where there are genuine grounds
To request a refund, please contact [email protected] within 14 days of the charge in question. Include your organisation's registered email address and a brief description of the issue. We aim to respond to refund requests within 5 working days.
B2B service: As this is a business-to-business service, the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply. Your rights under these Subscription Terms are governed by the terms set out in this agreement and applicable commercial law.
6. Changing Your Subscription
You may upgrade or downgrade your subscription tier through the Stripe Customer Portal. Changes take effect as follows:
- Upgrades — take effect immediately. You will be charged a pro-rated amount for the remainder of your current billing period, and the full upgraded price from your next renewal
- Downgrades — take effect at the end of your current billing period. You retain access to your current tier until the period expires
- Billing cycle changes (monthly to annual, or vice versa) — take effect at the next renewal
7. Service Availability
We aim to keep The Trans Inclusion Toolkit available and functioning reliably, but we do not guarantee uninterrupted or error-free access. The platform may be temporarily unavailable due to:
- Planned maintenance (we will give reasonable notice where possible)
- Unplanned downtime caused by hosting, infrastructure, or third-party service issues
- Factors outside our reasonable control (including internet outages, cyberattacks, or force majeure events)
AI-powered features (Quinn, Roast My Policy, the Wizard, Defensibility Builder, Response Builder) depend on third-party services including OpenAI and Pinecone. These services may experience their own downtime, rate limits, or service changes that are outside our control. We are not responsible for temporary unavailability of AI features caused by third-party service disruptions.
We do not offer a formal Service Level Agreement (SLA) or uptime guarantee. If you require guaranteed uptime or dedicated support, please contact us about a bespoke enterprise arrangement.
8. AI-Generated Content
Several features in The Trans Inclusion Toolkit use artificial intelligence to generate responses, analyses, and recommendations. This includes Quinn, the EqIA/DPIA Wizard, Roast My Policy, Defensibility Builder, and the Response Builder.
By using these features, you acknowledge and agree that:
- AI-generated content is guidance only — it does not constitute legal, HR, medical, or professional advice
- AI responses may contain errors, inaccuracies, or omissions. You are responsible for independently verifying any information before relying on it
- AI features are tools to support your decision-making, not replacements for qualified professional counsel
- The quality and accuracy of AI outputs depend partly on the quality of your inputs. Vague or incomplete prompts may produce less useful results
- AI models are updated periodically, which may cause responses to vary over time for the same input
For full terms governing Quinn specifically, see Section 7 of our Terms of Use.
9. Your Content and Data
During your subscription, you may create and save content using our tools (e.g. EqIA/DPIA assessments, policy analysis results, saved scenarios). Regarding this content:
- Ownership — any content you create using our tools remains yours. We do not claim ownership of your inputs or the outputs generated from them
- Licence to us — you grant us a limited licence to process, store, and display your content as necessary to provide the service (e.g. saving your assessments, generating exports)
- Retention after cancellation — saved assessments and shared links associated with your account are retained for 90 days after your subscription ends. After this period, they may be permanently deleted. If you need to export your data before cancellation, you can do so through the relevant tool's export function
- Anonymised usage — we may use anonymised, aggregated data derived from tool usage to improve the platform. This data will never be identifiable to you or your organisation
For full details on how we handle your personal data, see our Privacy Policy.
10. Acceptable Use
In addition to the acceptable use terms in our Terms of Use, subscribers must not:
- Share access credentials — each subscription is licensed to a single named user identified by their registered email address. You must not share your login, access links, or authentication codes with other individuals, even within the same organisation. If your organisation requires multiple users, each must hold their own subscription
- Automate access — you must not use bots, scrapers, or automated tools to access paid features, bulk-download content, or circumvent usage limits
- Circumvent access controls — you must not attempt to bypass, disable, or interfere with the authentication or content gating systems
- Resell or redistribute — you must not resell, redistribute, or commercially exploit your subscription access or proprietary toolkit content (see Terms of Use, Section 2). Content you generate using our tools (e.g. assessments, analyses) belongs to you, but the underlying frameworks and knowledge base remain our intellectual property
We reserve the right to suspend or terminate a subscription — without refund — if we reasonably believe these terms have been breached.
10A. Fair Usage Policy
AI-powered features in The Trans Inclusion Toolkit are subject to fair usage limits. These limits are designed to ensure consistent service quality for all subscribers and to prevent excessive automated or bulk usage that could degrade the experience for others.
How fair usage works
Each AI-powered feature has a per-hour usage allowance that resets automatically. These allowances are generous — they are set well above the level required for normal individual professional use. You are unlikely to encounter a limit during typical day-to-day work.
Practitioner subscribers have monthly caps on their included AI features (e.g. 3 policy roasts per month). Professional subscribers have per-hour fair usage limits that allow substantially higher throughput.
Specific limits by feature and tier are shown on our Pricing page and may be adjusted from time to time. We will give reasonable notice of any material reduction in allowances.
What happens if you reach a limit
If you reach a fair usage limit, you will see a clear message indicating that the feature is temporarily unavailable and when it will reset. Your access to other features is not affected. Hourly limits reset automatically; monthly limits reset on your billing date.
Pathway-Specific Limits
| Tool | Practitioner | Professional |
|---|---|---|
| Policy Hardener | 5/month | Unlimited |
| Response Scripts | 5/month | Unlimited |
| Defensibility Builder | 3/month | 10/month |
| Scenario Stress-Tests | 5/month | Unlimited |
| Ask Quinn | 20/hour | 20/hour |
| EqIA/DPIA Wizard | — | 5/month |
| Evidence Pack | — | 10/month |
| Complaints Triage | — | 5/month |
| Board Briefing | — | 5/month |
Monitoring and enforcement
We monitor usage to ensure fair access for all subscribers and to manage the costs of third-party AI services. If we identify usage patterns that are significantly above normal levels — for example, automated scripting, bulk data extraction, or systematic abuse of AI features — we may:
- Contact you to discuss your usage and needs
- Temporarily restrict access to affected features
- Recommend an Enterprise plan with custom allowances
- In cases of deliberate abuse, suspend or terminate your subscription in accordance with Section 11
We will always attempt to contact you before taking restrictive action, except where immediate action is necessary to protect the service.
11. Termination by Us
We may suspend or terminate your subscription in the following circumstances:
- Breach of terms — if you breach these Subscription Terms, our Terms of Use, or our Privacy Policy
- Non-payment — if we are unable to collect payment after reasonable retry attempts
- Misuse — if you use the platform in a way that is abusive, harmful, or contrary to its intended purpose
- Legal requirement — if we are required to do so by law, regulation, or court order
Where we terminate for breach or misuse, you will not be entitled to a refund of any fees already paid. Where we terminate for reasons outside your control (e.g. discontinuation of the service), we will offer a pro-rated refund for the unused portion of your subscription period.
12. Disclaimer and Limitation of Liability
The Trans Inclusion Toolkit is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions, and terms — whether express, implied, or statutory — including, without limitation, any implied terms under the Supply of Goods and Services Act 1982 as to satisfactory quality, fitness for a particular purpose, or reasonable care and skill.
To the fullest extent permitted by law:
- SEE Change Happen Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your subscription or use of the platform
- Our total aggregate liability to you for any claims arising from your subscription shall not exceed the total fees paid by you in the 12 months preceding the claim
- We are not liable for any loss, damage, or adverse consequences arising from reliance on AI-generated content, including Quinn responses, Wizard outputs, Roast analyses, Defensibility Builder responses, or any other AI-powered feature
Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under English law.
13. Reporting Issues
If you experience a billing issue, service problem, or believe your account has been compromised:
- Billing queries — email [email protected] with the subject line "Billing Query" and include your registered email address
- Service issues — email [email protected] with a description of the problem, including what you were trying to do and any error messages
- Account security — if you believe your account has been accessed without your permission, contact us immediately at [email protected]
We aim to acknowledge all queries within 2 working days and resolve billing issues within 5 working days. We cannot guarantee resolution timescales for service issues, as these may depend on third-party providers.
14. Changes to These Terms
We may update these Subscription Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. We will give existing subscribers at least 30 days' notice of material changes via email before they take effect.
Your continued use of the platform after changes take effect constitutes acceptance of the revised terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
15. Governing Law and Disputes
These Subscription Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these terms or your subscription shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Both parties agree to attempt to resolve any dispute informally before commencing legal proceedings. If you have a concern about your subscription, please contact us at [email protected] in the first instance.
